Welcome to AIQ Agency! These Terms of Use constitute a legally binding agreement between you and ФОП Мандрік С.І. (Sole Proprietor Mandrik S.I.) regarding the use of the aiq.agency platform and all related services.

Important: By using the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree - do not use the Platform.

1. General Provisions

1.1 Acceptance of Terms

By using the website aiq.agency (hereinafter "Platform", "Service", "AIQ Agency"), you agree to these Terms of Use. If you do not agree with any provision of these Terms, please stop using the Platform.

1.2 Platform Operator

The AIQ Agency Platform is owned and operated by:

1.3 Service Description

AIQ Agency is a comprehensive platform and full-service agency in the field of artificial intelligence, providing:

• AI prompts (text queries for artificial intelligence)
• AI workflows (educational step-by-step courses and scenarios for AI)
• Prompt and workflow bundles (thematic collections)
• AI tools (online services powered by artificial intelligence)
• Educational materials and blog about artificial intelligence
• Ability to save prompts to personal collections

1.4 Changes to Terms

We reserve the right to change these Terms at any time. We will notify you of significant changes by publishing on the Platform and by email (for registered users). Continued use of the Platform after changes constitutes your acceptance of the updated Terms.

2. Registration and Account

2.1 User Requirements

To use the Platform, you must:

• Be at least 16 years old
• Provide accurate information during registration
• Have the legal right to enter into contracts

2.2 Account Creation

When registering, you can use Email and password or Google authorization.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Immediately notifying us of unauthorized access

2.4 One Account

Each user may have only one account. Creating multiple accounts to circumvent restrictions is prohibited.

3. Use of Service

3.1 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

3.2 Permitted Use

You may:

• View and copy purchased prompts and workflows
• Use purchased content for personal and commercial projects
• Save prompts to personal collections on the Platform
• Track progress through workflows
• Share links to public content

3.3 Prohibited Use

You may NOT:

• Resell, distribute, or transfer purchased content to third parties
• Publish prompts and workflows on other platforms
• Pass off AIQ Agency content as your own
• Use automated means to mass download content
• Attempt to bypass security systems or access restrictions
• Use the Platform for illegal purposes
• Create content that infringes intellectual property rights
• Distribute malware
• Engage in spam or phishing

4. Subscriptions and Payments

4.1 Access Types

The Platform offers:

• Free access: limited set of prompts and workflows
• Pro subscription (monthly/yearly): extended access to content
• Premium subscription (monthly/yearly): full access to exclusive content
• One-time purchases: purchase of individual prompts, workflows, or bundles

4.2 Prices and Currency

Product prices are listed in US dollars (USD). Payments may be processed in Ukrainian hryvnia (UAH) for card payments. Prices may change without notice. Active subscriptions retain their price until the end of the period.

4.3 Content Access Levels

Each prompt and workflow has an access level:

• Free: available to all users
• Pro: available to users with Pro or Premium subscription
• Premium: available only to users with Premium subscription

4.4 Payment Systems

We accept payments through:

• WayForPay - Visa, Mastercard cards (UAH currency)
• Cryptomus - cryptocurrencies (BTC, ETH, USDT, and others)

4.5 Subscription Changes (Proration)

Upgrade (switch to more expensive plan):

• New plan activates immediately
• Credit is calculated for unused days on current plan
• You pay the prorated difference between plans
• Old subscription is automatically canceled
• New billing period starts from the upgrade moment

Downgrade (switch to cheaper plan):

• Current plan remains active until the end of paid period
• New plan activates automatically after current period ends
• No additional charges are made
• No credit is provided for unused time

Lifetime subscriptions: Cannot downgrade from a Lifetime subscription. When upgrading to Lifetime from another plan - standard upgrade rules apply.

4.6 Automatic Renewal

• Subscriptions (except Lifetime) automatically renew at the end of each period
• Payment is charged from linked card 24 hours before period ends
• You can cancel auto-renewal at any time in account settings
• When auto-renewal is canceled, you retain access until the end of paid period

4.7 Subscription Statuses

• Active: Subscription is valid, full access to content
• Paused: Payment failed, 2-day grace period for correction
• Canceled: Auto-renewal disabled, access until period end
• Expired: Subscription ended, access restricted

4.8 Failed Payments and Grace Period

If automatic payment fails:

• Subscription transitions to "Paused" status
• 2-day grace period is provided to update payment information
• System makes up to 3 charge attempts during grace period
• If payment fails after grace period - subscription expires
• You will receive email notification about failed payment

4.9 Subscription Reactivation

Canceled subscription can be reactivated before paid period ends. Upon reactivation, auto-renewal is enabled again. Expired subscription must be purchased anew.

4.10 Saved Payment Cards

Linked card is required for automatic renewal. You can add, remove, and change cards in settings. One card can be marked as "default". Card data is stored securely through payment provider (tokenization).

4.11 Taxes

Prices may not include local taxes. You are responsible for paying all applicable taxes.

5. Refunds and Cancellation

5.1 Refund Policy

In accordance with Ukrainian Consumer Protection Law and EU Directive 2011/83:

• Subscriptions: Refunds are possible within 14 days of first payment if you have not accessed paid content
• One-time purchases: Refunds are possible within 14 days if you have not accessed purchased content
• After accessing content: After using content, the right to refund is forfeited as digital content is considered delivered

5.2 Content Usage Tracking

We automatically track content usage:

• Prompts: the moment of copying prompt text is recorded
• Workflows: starting the workflow (viewing the first step) is recorded
• AI Tools: executing the first request is recorded

If the system has recorded content usage, refunds are not possible.

5.3 Refund Commission

When processing refunds:

• Payment processor commission may be deducted from the refund amount (up to 3% of transaction amount)
• If the payment system does not refund the processing fee, this amount is not compensated
• Cryptocurrency payments: blockchain network fee for the refund transaction is paid by the buyer

5.4 Refund Process

To request a refund, send an email to info@aiq.agency with:

• Order number or transaction ID
• Reason for refund
• Date of purchase
• Email used for registration

Refund decisions are made within 5 business days. Funds are returned using the same payment method used for purchase, minus applicable commissions.

5.5 Subscription Cancellation

Cancellation takes effect at the end of the current paid period. You retain full access until the end of the paid period. Automatic renewal is disabled. Previously copied content remains at your disposal.

6. Intellectual Property

6.1 AIQ Agency Rights

All rights to Platform design and structure, AIQ Agency logo and trademark, original content created by AIQ Agency, and Platform software code belong to ФОП Мандрік С.І. and are protected by copyright law.

6.2 Rights to Purchased Content

When purchasing prompts or workflows, you receive a non-exclusive license that includes:

• The right to use content for personal projects (unlimited)
• The right to use content for commercial projects (for clients, in business)
• The right to modify and adapt content for your own needs
• The right to use all results obtained using the prompts
• Perpetual license (no time limit on use)

You do NOT receive:

• The right to resell, transfer, or publicly distribute original content
• The right to publish content on prompt marketplaces or similar platforms
• Exclusive rights to content (other users may purchase the same content)
• The right to pass off content as your own without modifications

6.3 User Content

By uploading content to the Platform (reviews, comments), you warrant that you have the right to that content, grant us a license to use it, and retain copyright to your content.

7. Limitation of Liability

7.1 Disclaimer of Warranties

The Platform and content are provided "as is" without any warranties as to fitness for particular purposes, uninterrupted operation, or results of use.

7.2 Limitation of Liability

AIQ Agency is not liable for indirect, incidental, or consequential damages, loss of profit or data, results of AI use based on our prompts, or actions of artificial intelligence. Maximum liability is limited to the amount paid by you in the last 12 months.

7.3 Force Majeure

We are not liable for delays or failure to perform obligations due to circumstances beyond our control (force majeure).

8. User Responsibility

8.1 Use of AI Prompts

You understand and agree that:

• Prompts are text queries intended for use with third-party AI services (ChatGPT, Claude, Midjourney, etc.)
• Results depend on the specific AI model, its version, and settings
• AI may generate inaccurate, outdated, or incorrect information
• You bear full responsibility for verifying and using AI results
• AIQ Agency does not control the behavior of third-party AI services and is not responsible for their operation

8.2 Use of AI Workflows

Workflows are educational materials, and you agree that they are educational in nature and do not guarantee specific results, effectiveness depends on your level of knowledge and effort, you are responsible for applying the knowledge gained.

8.3 Use of AI Tools

When using AI tools on the Platform, you agree to usage limitations (credits, request limits), results are provided "as is" without guarantees of accuracy, use for illegal or harmful purposes is prohibited, you are responsible for content you create using the tools.

8.4 Indemnification

You agree to indemnify AIQ Agency for any damages arising from your violation of these Terms, violation of third-party rights, illegal use of the Platform, or improper use of AI results.

9. Termination of Access

9.1 Your Right to Terminate

You may at any time cancel your subscription or delete your account.

9.2 Our Right to Terminate

We may suspend or terminate your access in case of violation of these Terms, fraudulent activity, abuse of the Platform, or non-payment for services.

9.3 Consequences of Termination

Upon termination of access, your license to use the Platform is revoked, previously copied content remains at your disposal, funds for unused period are not refunded (except as required by law).

9.4 Account Deletion

Upon account deletion, your personal data is deleted in accordance with the Privacy Policy, purchase history is retained for accounting purposes (anonymized), the deletion process may take up to 30 days, some data may be retained as required by law.

10. Dispute Resolution

10.1 Applicable Law

These Terms are governed by the laws of Ukraine.

10.2 Pre-trial Settlement

Before going to court, the parties undertake to try to resolve the dispute through negotiation within 30 days.

10.3 Jurisdiction

Disputes that cannot be resolved through negotiation are heard by the courts of Ukraine at the location of ФОП Мандрік С.І..

11. Privacy

Personal data processing is carried out in accordance with our Privacy Policy.

12. Cookie Use

Information about the use of cookies is contained in our Cookie Policy.

12.1 Editorial Policy

Content quality standards are described in our Editorial Policy.

12.2 Disclaimer

Limitation of liability and disclaimers are described in our Disclaimer.

13. Service Availability

13.1 Technical Maintenance

We make efforts to ensure uninterrupted Platform operation, however scheduled maintenance may be performed, temporary failures may occur for technical reasons. We do not guarantee 100% service availability.

13.2 Functionality Changes

We reserve the right at any time to modify or discontinue certain features, update content and interface, introduce new capabilities.

14. General Provisions

14.1 Entire Agreement

These Terms together with the Privacy Policy and Cookie Policy constitute the entire agreement between you and AIQ Agency regarding the use of the Platform.

14.2 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in effect.

14.3 Waiver

Our failure to exercise any right under these Terms does not constitute a waiver of such right.

14.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights without your consent.
